Dian Swastatika Sentosa’s subsidiary purchases land from a Bumi Serpong Damai entity to support the development of its digital infrastructure business.

ICN News, JAKARTA – PT Dian Swastatika Sentosa Tbk (DSSA), a company under the Sinar Mas Group, has taken a strategic step through its indirect subsidiary, PT SMPlus Cakrawala Cipta Gemilang (SMCCG), by signing a conditional sale and purchase agreement (CSPA) for a land parcel valued at IDR 3.1 trillion.

The land covers 166,261 square meters, equivalent to approximately 16.6 hectares, and is located in D-Hub Special Economic Zone, Cluster 2B, BSD City, Tangerang Regency, Banten.

According to the company’s disclosure of information, the agreement was signed on October 26, 2026, between SMCCG as the buyer and PT Surya Inter Wisesa (SIW) as the seller. SIW is a subsidiary of PT Bumi Serpong Damai Tbk (BSDE).

The transaction value of IDR 3.1 trillion excludes taxes, legal fees, and other transaction costs, which are to be borne by the respective parties.

AN AFFILIATED-PARTY TRANSACTION

The transaction is classified as an affiliated-party transaction because DSSA and BSDE are both part of the Sinar Mas Group. DSSA explained that the transaction does not constitute a conflict-of-interest transaction.

The transaction value represents approximately 5.70% of DSSA’s equity based on its consolidated financial statements as of June 30, 2026. Accordingly, the transaction does not fall under the material transaction category pursuant to the applicable Financial Services Authority (OJK) regulations.

An independent appraisal valued the land at approximately IDR 3.12 trillion as of June 30, 2026. The independent appraiser also concluded that the transaction was fair.

STRATEGIC LOCATION IN BSD CITY

The land is situated within the D-Hub Special Economic Zone, part of the Banten International Education, Technology and Health Special Economic Zone (KEK ETKI).

The location offers several advantages, particularly its adequate land availability, strategic positioning, and transaction readiness.

For DSSA, securing this land forms part of its efforts to obtain the site required to support the development of its digital infrastructure business through its subsidiary.

The transaction also reflects the utilization of property assets within the Sinar Mas Group to support business development in the technology and data center sectors.
