ICN News – On Thursday, April 16, 2026, PT United Tractors Tbk (the “Company”) holds its 2026 Annual General Meeting of Shareholders (“AGM”) at Catur Dharma Hall, Menara Astra, Jakarta.

The AGM resolved the following key decisions:

1. Approved Annual Report for the Financial Year Year 2025, including the Supervisory Report of the Board of Commissioners, and ratified the Consolidated Financial Statements of the Company and its Subsidiaries for Fiscal Year 2025, which were audited by the Public Accounting Firm Rintis, Jumadi, Rianto & Rekan, as stated in its report dated February 26, 2026, with an unqualified opinion in all material respects.

2. Approved the appropriation of the Company’s consolidated net profit of IDR 14.8 trillion, as follows :

  • A cash dividend of IDR 1,663 per share, or up to IDR 5.92 trillion, including an interim dividend of IDR 567 per share totaling IDR 2.06 trillion, which was paid on October 24, 2025. The remaining dividend of IDR 1,096 per share will be distributed to shareholders listed in the Company’s Shareholders Register as of April 28, 2026, at 16:00 WIB (“Dividend Recording Date”), and will be paid on May 18, 2026.
  • In relation to the Company’s ongoing share buyback program, the total dividend payout will depend on the number of shares eligible to receive dividends based on the Shareholders Register at the Dividend Recording Date.

3. Appointed members of the Board of Directors and Board of Commissioners for the term commencing from the closing of the 2026 AGM until the 2027 AGM, as follows :

5. Appointed the Public Accounting Firm Rintis, Jumadi, Rianto & Rekan, a firm registered with the Financial Services Authority (OJK), to audit the Company’s Consolidated Financial Statements and its Subsidiaries for Fiscal Year 2026.
